Approval Procedures for the Establishment of Joint Venture and Contractual cooperative enterprises

The letter of intent for a joint venture or a contractual cooperative enterprise		Attachments: The foreign partner’s business license, a copy of legal person’s passport, financial and credit certificate. The legal representative ca authorize a principal in written form if he does not attend himself, and provide the business license of the Chinese partner
(The Chinese partner) compiles the project proposa
The Chinese authorities in charge or the administration commission of the industrial zone submits a report to the local people’s government
	The local people’s government establishes the project	Attachments: Name list of board of directors from both sides. The Chinese partner provides appointment letter and fills in forms of senior personnel, and the foreign partner provides authorization letter
	(The Chinese partner) applies to the local industrial & commercial bureau for the verification of enterprise’s name

Both Chinese and foreign partners compile the contract, articles of association and feasibility study report

The Chinese authorities in charge or the administration commission of the industrial zone submits a report to the local people’s government

The local people’s government gives approval

Fill in relevant froms, prepare relevant materials and documents, and apply for an approval certificate

For the establishment of wholly foreign owned enterprises, qualified consultative agencies shall be entrusted to go through the procedures required for application and for approval as well.
